PLEASE READ THESE SUPPLIER PLATFORM TERMS & CONDITIONS CAREFULLY.

This document ("Agreement" or "Terms") outlines the legally binding terms and conditions governing your use of the Alley Bookings platform (www.alleybookings.com, associated mobile applications, and related tools like the Supplier Extranet - collectively the "Platform") to list and offer your accommodation, event space, tours, or other travel-related services ("Services") for booking by users ("Guests").

These Terms are entered into between you (the individual or legal entity listing Services, referred to as "Supplier," "Partner," "you," "your") and ALLEY BOOKINGS LTD. (No. 32 Gwarzo Road, Bompai, Kano - Nigeria, referred to as "Alley Bookings," "we," "us," "our").

By clicking "I Agree" / "Accept Terms" / "Create Listing" and/or by listing your Services on the Alley Bookings Platform, you represent that:

  • You have read, understood, and agree to be legally bound by all terms and conditions of this Supplier Agreement.
  • You have the full legal authority to bind the entity you represent (if applicable) to this Agreement.
  • You agree to comply with all applicable laws and regulations related to your Services and your use of the Platform.

If you do not agree to these Terms, you must not register, list Services, or use the Supplier features of the Platform.

1. Our Role & Your License to Us

  • Platform Provider: Alley Bookings provides the Platform as an online marketplace connecting Suppliers with Guests seeking to book Services. We act as an intermediary facilitator.
  • License Grant: You grant Alley Bookings a non-exclusive, worldwide, royalty-free license to display your provided information, photos, rates, availability, policies, and trademarks ("Supplier Content") on the Platform, market your Services, facilitate bookings, and process payments (as applicable) according to these Terms.

2. Your Responsibilities as a Supplier

  • Accurate Listings: You MUST provide accurate, complete, truthful, and up-to-date Supplier Content for all your listings. This includes descriptions, amenities, high-quality photos/videos (that you have the rights to use), location, policies, and contact information. You are solely responsible for the accuracy of your listing.
  • Availability & Pricing: You are solely responsible for setting your prices and managing your Service availability in real-time via the provided Extranet or approved connection (e.g., channel manager API). You must keep availability accurate to prevent overbookings. Rates provided must be competitive [Optional: Add rate parity requirement language if legally vetted and desired]. Prices must clearly indicate included taxes and fees.
  • HONOURING BOOKINGS: You unconditionally agree to accept and honour ALL confirmed bookings ("Confirmed Bookings") made through the Alley Bookings Platform at the price and under the conditions stated at the time of booking.
    • Handling Overbookings: If you cannot honour a Confirmed Booking due to your fault (e.g., overbooking), you MUST immediately inform Alley Bookings and provide the affected Guest(s) with suitable alternative arrangements of equal or better quality at YOUR sole expense, covering any reasonable additional costs incurred by the Guest. Failure to do so is a material breach and may result costs incurred by the Guest. Failure to do so is a material breach and may result in penalties, suspension, and liability.
  • Service Quality & Compliance: You must provide your Services professionally, safely, consistent with your listing description, and in compliance with ALL applicable local laws, regulations, permits, licenses, health, and safety standards.
  • Guest Communication & Service: You are the primary contact for Guests regarding the specifics of their stay/event/tour and are responsible for check-in/out, service delivery, and handling on-site issues or complaints. Cooperate with Alley Bookings if we need assistance resolving a Guest dispute related to a booking.
  • Policies: Clearly define and accurately upload your applicable policies (cancellation, check-in/out times, house rules, age restrictions, etc.) via the Extranet. You agree to abide by these policies for Platform bookings.
  • KYC Verification: You agree to provide accurate documentation and information requested by Alley Bookings for "Know Your Customer/Partner" (KYC) verification during onboarding and periodically. This is required for activation, payment processing, and ongoing partnership. Failure to comply may lead to suspension or termination.
  • Data Protection: You must handle any Guest personal data received from Alley Bookings or Guests in strict compliance with applicable data protection laws (like NDPR, GDPR if applicable). Use Guest data only to fulfil the booking unless you obtain separate, explicit consent from the Guest for other uses (like marketing). Protect this data adequately.

3. Alley Bookings' Responsibilities

  • Platform Operation: We will use commercially reasonable efforts to keep the Platform operational for listing and booking Services.
  • Marketing: We may promote the Platform and your listings at our discretion.
  • Booking Facilitation: We will provide the tools for Guests to book and will transmit Confirmed Booking details to you.
  • Payment Processing (as applicable): We will facilitate payment collection and remittance according to the agreed model (see Section 4).
  • Support: We will provide reasonable support regarding the Platform's functionality.

4. Commercial Terms: Commission & Payments

  • Commission: You agree to pay Alley Bookings a commission ("Commission") for each materialised/consumed Confirmed Booking generated through the Platform.
  • Rate & Calculation: The specific Commission percentage, the basis for its calculation (Gross Booking Value), the applicable payment model (whether Alley Bookings collects payment and remits net, or you collect and pay commission invoices), and the payment/remittance schedule will be communicated to you during the onboarding process and/or clearly displayed within your Supplier dashboard/Extranet on the Platform. These commercial terms form an integral part of this Agreement. You agree to these commercial terms by proceeding with the listing.
  • Accuracy: You are responsible for accurately reporting no-shows or cancellations not processed via the Platform so Commission can be adjusted correctly. Commission is due on amounts retained by you under applicable non-refundable cancellation policies.
  • Taxes: You are responsible for remitting all taxes related to your Services. Alley Bookings is responsible for taxes on its Commission income.

5. Data Sharing & Privacy

We share necessary Guest data with you solely to fulfil bookings. Both parties must comply with data protection laws. Refer to the Alley Bookings Privacy Policy for more details on our data practices.

6. Intellectual Property

You own your Supplier Content; we own the Platform and Alley Bookings Content. You grant us the license needed to operate the Platform and display your listings. We grant you access to use the Platform tools (like the Extranet) according to these Terms.

7. Liability and Indemnification

  • Disclaimer: Alley Bookings is an intermediary. We are NOT responsible for the quality, safety, or delivery of your Services, Guest conduct, or the accuracy of all Supplier Content (though we require you to ensure accuracy). The Platform is provided "AS IS".
  • Limitation of Our Liability: Our liability to you under this Agreement is limited, as permitted by law (e.g., typically limited to commissions paid over a recent period). We are not liable for indirect or consequential damages.
  • YOUR INDEMNIFICATION OF US: You agree to indemnify, defend, and hold harmless Alley Bookings (and its directors, officers, employees, agents) from ANY and ALL claims, liabilities, damages, losses, and expenses (including legal fees) arising from:
    • Your breach of these Terms.
    • Your Services (including claims of injury, property damage, poor quality).
    • Inaccurate Supplier Content or infringement of third-party rights by your content.
    • Your failure to honour Confirmed Bookings.
    • Your violation of any laws or regulations.

8. Term & Termination

  • Term: This Agreement starts when you accept these Terms and continues until terminated by either party.
  • Termination: Either party can terminate with [e.g., 30] days' written notice. We may terminate immediately or suspend your account for material breach (like failing to honour bookings, fraud, KYC failure, severe Guest complaints).
  • Effect of Termination: You must honour bookings confirmed before termination. We will remove your listings. Outstanding payments/commissions will be settled according to the agreed schedule/terms. Certain sections (like Liability, Indemnification, Confidentiality, Disputes) survive termination.

9. Confidentiality

You agree to keep any non-public information received from Alley Bookings (e.g., business practices, certain data) confidential.

10. Governing Law & Dispute Resolution

  • This Agreement is governed by the laws of the Federal Republic of Nigeria.
  • We encourage resolving disputes amicably first. If unresolved, disputes will be settled by binding arbitration in Kano, Nigeria, under the rules of the Lagos Court of Arbitration (LCA), as detailed in the full Terms of Service often AppLinked or provided separately.

11. Changes to These Terms

  • We reserve the right to modify these Supplier Terms at any time. We will notify you of significant changes (e.g., via email or a notice on the Platform/Extranet). The "Effective Date" will be updated.
  • Your continued use of the Platform or acceptance of bookings after modifications are posted constitutes your agreement to the revised Terms. If you disagree with changes, you must stop using the Platform and terminate your account.

12. General

  • These Terms, along with the specific Commercial Terms provided to you and referenced policies (like Privacy Policy), constitute the entire agreement between you and Alley Bookings regarding your supplier relationship.
  • You are an independent contractor, not an employee, partner, or agent of Alley Bookings (except for the limited purpose of facilitating bookings/payments).
  • You cannot assign this Agreement without our consent. We may assign it.
