1. Introduction and Acceptance of Terms

Welcome to Alley Bookings! These Terms of Service ("Terms") govern your access to and use of the website www.alleybookings.com, any associated mobile applications, and all related services, features, content, and tools (collectively, the "Platform") provided by Alley Booking LTD ("Alley Bookings," "we," "us," or "our").

The Platform acts as an intermediary service connecting users ("User," "you," "your") with third-party providers of flights, accommodation (hotels, apartments, etc.), event spaces, tours, excursions, and other travel-related services (collectively, "Suppliers").

BY ACCESSING, BROWSING, OR USING THE PLATFORM IN ANY MANNER (INCLUDING MAKING BOOKINGS), YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS, AS WELL AS OUR PRIVACY POLICY AND ANY OTHER POLICIES OR GUIDELINES REFERENCED HEREIN (SUCH AS BOOKING CONDITIONS, CANCELLATION POLICY), WHICH ARE INCORPORATED BY REFERENCE.

If you do not agree to these Terms, you must not access or use the Platform.

2. Scope of Services

Alley Bookings provides an online platform through which you can browse, compare, and book various travel and event services offered by Suppliers. Our responsibilities are limited to facilitating the availability of the Platform and acting as an intermediary for bookings between you and the Suppliers.

IMPORTANT: Alley Bookings is NOT the provider of the flights, accommodations, events, tours, or other services listed on the Platform. These services are owned, controlled, and made available by the Suppliers, either directly or through their agents. When you make a booking, you are entering into a direct contract with the relevant Supplier, and their terms and conditions will apply to your booking in addition to these Terms. Alley Bookings is not a party to the contractual relationship between you and the Supplier regarding the actual service provided. We are not a travel agency in the traditional sense but an intermediary technology platform.

3. User Eligibility

To use the Platform and make bookings, you must:

  • Be at least 18 years of age.
  • Possess the legal authority to create a binding legal obligation.
  • Use the Platform in accordance with these Terms.
  • Provide true, accurate, current, and complete information during registration and booking.
  • Be solely responsible for safeguarding your account information and for any activity that occurs under your account.

Use of the Platform is void where prohibited by law.

4. Account Creation and Security

  • Account Registration: You may need to register for an account to access certain features of the Platform. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
  • Account Security: You are responsible for safeguarding the password you use to access the Platform and for any activities or actions under your password, whether your password is with our Platform or a third-party service. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
  • Account Termination/Suspension: We reserve the right to suspend or terminate your account and your access to the Platform at our sole discretion, without notice or liability, if you violate these Terms, or for any other reason, including inactivity.

5. Acceptable Use of the Platform

You agree not to use the Platform for any purpose that is unlawful or prohibited by these Terms, or any other purpose not reasonably intended by Alley Bookings. You agree not to:

  • Use the Platform for any commercial purpose other than browsing, booking, or managing legitimate travel or event reservations for yourself or another person for whom you are legally authorized to act.
  • Make any speculative, false, or fraudulent reservation or any reservation in anticipation of demand.
  • Access, monitor, or copy any content or information of the Platform using any robot, spider, scraper, or other automated means or any manual process for any purpose without our express written permission.
  • Violate the restrictions in any robot exclusion headers on the Platform or bypass or circumvent other measures employed to prevent or limit access to the Platform.
  • Take any action that imposes, or may impose, in our discretion, an unreasonable or disproportionately large load on our infrastructure.
  • Deep-AppLink to any portion of the Platform for any purpose without our express written permission.
  • "Frame," "mirror," or otherwise incorporate any part of the Platform into any other website without our prior written authorization.
  • Attempt to modify, translate, adapt, edit, decompile, disassemble, or reverse engineer any software programs used by Alley Bookings in connection with the Platform.
  • Post or transmit any unlawful, threatening, libelous, defamatory, obscene, pornographic, or other material or content that would violate rights of publicity and/or privacy or that would violate any law.
  • Upload or transmit any material that contains viruses, Trojan horses, worms, time bombs, cancelbots, or any other harmful or deleterious programs.
  • Interfere with or disrupt the operation of the Platform or the servers or networks connected to it.
  • Violate any applicable local, state, national (including Nigerian), or international law or regulation.

6. Booking and Financial Terms

All bookings made through the Platform are subject to the specific terms and conditions provided by the relevant Supplier, as well as Alley Bookings' specific booking conditions, payment requirements, and cancellation/refund policies, which will be made available to you before you complete a booking. You agree to abide by the terms and conditions of purchase imposed by any Supplier with whom you elect to deal, including, but not limited to, payment of all amounts when due and compliance with the Supplier's rules and restrictions regarding availability and use of fares, products, or services. You understand that any violation of any such Supplier's rules and restrictions may result in cancellation of your reservation(s), in your being denied access to the applicable travel product or services, in your forfeiting any monies paid for such reservation(s), and/or in our debiting your account for any costs we incur as a result of such violation.

7. Intellectual Property Rights

The Platform and all its content, including but not limited to text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, software, and the compilation of all content (collectively, "Alley Bookings Content"), are the property of Alley Bookings or its licensors (including Suppliers) and are protected by Nigerian and international copyright, trademark, and other intellectual property laws.

Alley Bookings grants you a limited, non-exclusive, non-transferable, revocable license to access and make personal, non-commercial use of the Platform and the Alley Bookings Content solely for the purposes of browsing offers and making legitimate bookings as intended by these Terms. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell or re-sell any information, software, products, or services obtained from or through the Platform without our express prior written consent. The Alley Bookings name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Alley Bookings or its affiliates or licensors. You must not use such marks without the prior written permission of Alley Bookings.

8. User Content

If the Platform allows you to post content, such as reviews or ratings ("User Content"), you grant Alley Bookings a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content throughout the world in any media. You represent and warrant that you own or otherwise control all of the rights to the User Content that you post; that the User Content is accurate; that use of the User Content you supply does not violate these Terms or any applicable law and will not cause injury to any person or entity; and that you will indemnify Alley Bookings for all claims resulting from User Content you supply. Alley Bookings takes no responsibility and assumes no liability for any User Content posted by you or any third party but reserves the right (but not the obligation) to remove or edit such content.

9. Third-Party AppLinks and Services

The Platform may contain AppLinks to third-party websites or resources (e.g., Supplier websites, payment processors like Paystack). You acknowledge and agree that Alley Bookings is not responsible or liable for:

(i) the availability or accuracy of such websites or resources; or

(ii) (ii) the content, products, or services on or available from such websites or resources. AppLinks to such websites or resources do not imply any endorsement by Alley Bookings. You acknowledge sole responsibility for and assume all risk arising from your use of any such websites or resources. Your interactions with Suppliers and third-party service providers found on or through the Platform, including payment and delivery of goods or services, and any other terms, conditions, warranties, or representations associated with such dealings, are solely between you and such Suppliers or third parties.

10. Disclaimers of Warranties

THE PLATFORM, ALLEY BOOKINGS CONTENT, AND ALL SERVICES AND INFORMATION PROVIDED VIA THE PLATFORM ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED.

WITHOUT LIMITING THE FOREGOING, ALLEY BOOKINGS EXPLICITLY DISCLAIMS ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT OR NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

ALLEY BOOKINGS MAKES NO WARRANTY THAT THE PLATFORM, ALLEY BOOKINGS CONTENT, OR SERVICES WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS.

ALLEY BOOKINGS MAKES NO WARRANTY REGARDING THE QUALITY, ACCURACY, TIMELINESS, TRUTHFULNESS, COMPLETENESS OR RELIABILITY OF ANY ALLEY BOOKINGS CONTENT OBTAINED THROUGH THE PLATFORM OR THE QUALITY, SAFETY, OR SUITABILITY OF ANY FLIGHT, ACCOMMODATION, EVENT, TOUR, OR OTHER SERVICE PROVIDED BY SUPPLIERS. INFORMATION PROVIDED ABOUT SUPPLIER SERVICES (INCLUDING PRICING, AVAILABILITY, AMENITIES) IS PROVIDED BY THE SUPPLIERS, AND ALLEY BOOKINGS DOES NOT INDEPENDENTLY VERIFY IT AND DISCLAIMS LIABILITY FOR ANY INACCURACIES. RATINGS DISPLAYED ARE INTENDED AS GENERAL GUIDELINES, AND ALLEY BOOKINGS DOES NOT GUARANTEE THEIR ACCURACY.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM ALLEY BOOKINGS OR THROUGH THE PLATFORM WILL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN.

11. Limitation of Liability

YOU ACKNOWLEDGE AND AGREE THAT, TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE ENTIRE RISK ARISING OUT OF YOUR ACCESS TO AND USE OF THE PLATFORM, ALLEY BOOKINGS CONTENT, YOUR BOOKING OF ANY SERVICES VIA THE PLATFORM, AND ANY CONTACT YOU HAVE WITH SUPPLIERS OR OTHER USERS OF THE PLATFORM, WHETHER IN PERSON OR ONLINE, REMAINS WITH YOU.

NEITHER ALLEY BOOKINGS NOR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE PLATFORM OR ALLEY BOOKINGS CONTENT WILL BE LIABLE FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA OR LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE OR SYSTEM FAILURE OR THE COST OF SUBSTITUTE PRODUCTS OR SERVICES, OR FOR ANY DAMAGES FOR PERSONAL OR BODILY INJURY OR EMOTIONAL DISTRESS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, FROM THE USE OF OR INABILITY TO USE THE PLATFORM OR ALLEY BOOKINGS CONTENT, FROM ANY COMMUNICATIONS, INTERACTIONS OR MEETINGS WITH SUPPLIERS OR OTHER USERS OF THE PLATFORM, OR FROM YOUR BOOKING OR USE OF ANY SERVICE VIA THE PLATFORM, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT ALLEY BOOKINGS HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, EVEN IF A LIMITED REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

IN NO EVENT WILL ALLEY BOOKINGS' AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS AND YOUR USE OF THE PLATFORM INCLUDING, BUT NOT LIMITED TO, FROM YOUR BOOKING OF ANY SERVICE VIA THE PLATFORM, OR FROM THE USE OF OR INABILITY TO USE THE PLATFORM OR ALLEY BOOKINGS CONTENT, EXCEED THE AMOUNTS YOU HAVE PAID TO ALLEY BOOKINGS FOR BOOKINGS VIA THE PLATFORM AS A USER IN THE TWELVE (12) MONTH PERIOD PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED UNITED STATES DOLLARS (USD $100) / [OR EQUIVALENT NAIRA AMOUNT], IF NO SUCH PAYMENTS HAVE BEEN MADE, AS APPLICABLE.

THE SUPPLIERS PROVIDING TRAVEL OR OTHER SERVICES ON THIS PLATFORM ARE INDEPENDENT CONTRACTORS AND NOT AGENTS OR EMPLOYEES OF ALLEY BOOKINGS. ALLEY BOOKINGS IS NOT LIABLE FOR THE ACTS, ERRORS, OMISSIONS, REPRESENTATIONS, WARRANTIES, BREACHES, OR NEGLIGENCE OF ANY SUCH SUPPLIERS OR FOR ANY PERSONAL INJURIES, DEATH, PROPERTY DAMAGE, OR OTHER DAMAGES OR EXPENSES RESULTING THEREFROM. ALLEY BOOKINGS HAS NO LIABILITY AND WILL MAKE NO REFUND IN THE EVENT OF ANY DELAY, CANCELLATION, OVERBOOKING, STRIKE, FORCE MAJEURE, OR OTHER CAUSES BEYOND ITS DIRECT CONTROL, AND IT HAS NO RESPONSIBILITY FOR ANY ADDITIONAL EXPENSE, OMISSIONS, DELAYS, RE-ROUTING OR ACTS OF ANY GOVERNMENT OR AUTHORITY.

THE LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN ALLEY BOOKINGS AND YOU. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

12. Indemnification

You agree to release, defend, indemnify, and hold Alley Bookings and its affiliates and subsidiaries, and their officers, directors, employees, and agents, harmless from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with

(a) your access to or use of the Platform or Alley Bookings Content or your violation of these Terms;

(b) your User Content;

(c) your interaction with any Supplier or other User; or

(d) your booking or use of any service obtained via the Platform, including but not limited to any injuries, losses, or damages (compensatory, direct, incidental, consequential or otherwise) of any kind arising in connection with or as a result of a booking or use of a service.

13. Modifications to Terms

Alley Bookings reserves the right, at its sole discretion, to modify the Platform or to modify these Terms, including any service fees, at any time and without prior notice (except where required by law). If we modify these Terms, we will post the modification on the Platform or provide you with notice of the modification (e.g., via email or a notification on the Platform). We will also update the "Effective Date" at the top of these Terms. By continuing to access or use the Platform after we have posted a modification or have provided you with notice of a modification, you are indicating that you agree to be bound by the modified Terms. If the modified Terms are not acceptable to you, your only recourse is to cease using the Platform.

14. Termination

You may terminate this Agreement at any time by ceasing to use the Platform and deleting your account (if applicable).

We may terminate this Agreement and your access to the Platform, at our sole discretion, at any time and without notice or liability to you, for any reason or no reason, including but not limited to your breach of these Terms.

Upon termination, all provisions of these Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

15. Governing Law and Dispute Resolution

  • Governing Law: These Terms and any action related thereto will be governed by the laws of the Federal Republic of Nigeria, without regard to its conflict of laws provisions.
  • Dispute Resolution: You and Alley Bookings agree that any dispute, claim or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation or validity thereof, or to the use of the Platform or services obtained via the Platform (collectively, "Disputes") will be settled by binding arbitration, except that each party retains the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.
  • Arbitration: If a Dispute arises, we strongly encourage you to first contact us directly at [Insert Dispute Resolution Email Address] to seek an informal resolution. If the Dispute is not resolved informally within sixty (60) days, you agree that the Dispute shall be finally settled by arbitration administered by the [Choose an appropriate Nigerian Arbitration Centre, e.g., Lagos Court of Arbitration (LCA) or Regional Centre for International Commercial Arbitration - Lagos (RCICAL)] in accordance with its Arbitration Rules. The arbitration shall take place in Kano, Nigeria (or another mutually agreed location). The language of the arbitration shall be English. The arbitral award shall be final and binding on the parties.
  • Jurisdiction: Unless you and Alley Bookings agree otherwise, you agree to submit to the exclusive jurisdiction of the courts located in Kano, Kano State, Nigeria for any actions for which the parties retain the right to seek injunctive or other equitable relief, as described in the arbitration provision above.

16. General Provisions

  • Entire Agreement: These Terms constitute the entire and exclusive understanding and agreement between Alley Bookings and you regarding the Platform, Alley Bookings Content, and any bookings made via the Platform, and these Terms supersede and replace any and all prior oral or written understandings or agreements between Alley Bookings and you regarding the same.
  • Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without Alley Bookings' prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and of no effect. Alley Bookings may assign or transfer these Terms, at its sole discretion, without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors and permitted assigns.
  • Notices: Any notices or other communications permitted or required hereunder, including those regarding modifications to these Terms, will be in writing and given by Alley Bookings
    • (i) via email (in each case to the address that you provide) or
    • (ii) by posting to the Platform. For notices made by e-mail, the date of receipt will be deemed the date on which such notice is transmitted.
  • Waiver: The failure of Alley Bookings to enforce any right or provision of these Terms will not constitute a waiver of future enforcement of that right or provision.
  • Severability: If any provision of these Terms is held to be invalid or unenforceable, such provision will be struck and will not affect the validity and enforceability of the remaining provisions.
